Note on this document. This is a template drafted for general use and does not constitute legal advice. It has been prepared with regard to the laws of Switzerland but has not been reviewed by a licensed Swiss advocate. Before publication or reliance upon it, the Company should obtain independent legal advice from a qualified Swiss legal practitioner to confirm suitability for its specific circumstances.

These Terms and Conditions (the "Terms") govern access to and use of the website located at greyw and any associated services, tools, or applications made available in connection therewith (together, the "Platform"), operated by greyw (the "Company", "we", "us", or "our"). By accessing or using the Platform, the person so accessing or using it (the "User", "you", or "your") agrees to be bound by these Terms in their entirety. Should you not agree to be so bound, you must refrain from accessing or using the Platform.

2. Nature of the Service

  1. The Platform provides general informational content concerning citizenship, residency, and immigration pathways across various jurisdictions, compiled by reference to publicly available legal sources.
  2. For the avoidance of doubt, nothing on the Platform constitutes legal, immigration, tax, or financial advice, and no solicitor-client, advocate-client, or equivalent professional relationship is created by your use of the Platform. The Company strongly recommends that Users seeking to act upon any information provided consult a qualified legal practitioner licensed in the relevant jurisdiction.
  3. The Company shall use reasonable endeavours to ensure that Content is accurate and current as at the date of publication, but immigration and citizenship law is subject to frequent amendment, and the Company gives no warranty, express or implied, that any Content remains accurate at the time of your reliance upon it.

3. Accounts and Registration

  1. Certain features of the Platform may require the creation of an Account. You warrant that all information provided in connection with the creation and maintenance of an Account is true, accurate, and complete, and undertake to update such information promptly should it cease to be so.
  2. You are responsible for maintaining the confidentiality of your Account credentials and for all activity conducted under your Account, save where such activity results from the Company's own negligence or wilful default. You shall notify the Company without undue delay upon becoming aware of any unauthorised use of your Account.
  3. The Company reserves the right, in its sole and reasonable discretion, to suspend or terminate any Account where it has reasonable grounds to believe these Terms have been breached, without prejudice to any other right or remedy available to it.

4. Acceptable Use

  1. You undertake not to, and shall procure that no third party under your direction or control shall:
    1. use the Platform for any unlawful purpose or in a manner inconsistent with these Terms;
    2. attempt to gain unauthorised access to the Platform, its underlying systems, or any account not belonging to you;
    3. reproduce, scrape, extract, or otherwise systematically harvest Content for commercial redistribution without the Company's prior written consent;
    4. introduce any virus, malware, or other material which is technologically harmful to the Platform or its infrastructure;
    5. misrepresent your identity or affiliation, or impersonate any other person.

5. Intellectual Property

  1. Save for Content sourced from and attributed to third-party or governmental sources, all intellectual property rights in and to the Platform, including its structure, compilation, design, and original Content, vest in the Company or its licensors.
  2. Nothing in these Terms shall be construed as granting any licence or right in respect of such intellectual property save for the limited, non-exclusive, non-transferable right to access and use the Platform for its intended informational purpose.

6. Disclaimers and Limitation of Liability

  1. The Platform and all Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by Applicable Law, the Company excludes all conditions, warranties, and representations, whether express or implied, in relation to the Platform.
  2. Nothing in these Terms shall operate to exclude or limit the Company's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be excluded or limited under Applicable Law.
  3. Subject to clause 6.2, the Company shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, howsoever arising, for any indirect or consequential loss, or for any loss of profit, revenue, or anticipated savings arising out of or in connection with your use of, or inability to use, the Platform.
  4. Subject to clause 6.2, the Company's aggregate liability to you arising out of or in connection with these Terms, howsoever arising, shall not exceed CHF 100.

7. Indemnity

  1. You agree to indemnify and hold the Company harmless against any claim, loss, damage, or expense (including reasonable legal costs) arising out of your breach of these Terms or your misuse of the Platform, save to the extent such claim, loss, damage, or expense arises from the Company's own negligence or wilful default.

8. Suspension and Termination

  1. Either party may terminate the arrangement constituted by these Terms at any time, in the case of the User by ceasing to use the Platform and closing any Account, and in the case of the Company by written notice or by disabling access to the Platform.
  2. Clauses which by their nature ought to survive termination, including clauses 5, 6, 7, and 10, shall so survive.

9. Amendment

  1. The Company reserves the right to amend these Terms from time to time. Material amendments shall be notified by way of a prominent notice on the Platform not less than fourteen (14) days prior to taking effect. Continued use of the Platform following such notice shall constitute acceptance of the amended Terms.

10. Governing Law and Jurisdiction

  1. These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of laws provisions.
  2. The parties submit to the exclusive jurisdiction of the ordinary courts of the Canton in which the Company maintains its registered seat, subject to any mandatory provision of Applicable Law that would confer jurisdiction elsewhere, including any mandatory consumer-protection venue to which you may be entitled as a consumer domiciled in Switzerland.

11. General

  1. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with one of similar economic effect.
  2. No failure or delay by the Company in exercising any right under these Terms shall operate as a waiver thereof.
  3. These Terms constitute the entire agreement between the parties in relation to their subject matter and supersede all prior understandings, whether written or oral.
